Terms of service

1. Acceptance & eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity.

2. Accounts & security

You agree to provide accurate, current, and complete information when you register and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account.

3. Description of services

Bizbe is a brokerage that connects buyers, sellers, and brokers to facilitate the purchase and sale of small and Main Street businesses, supported by AI-assisted tools. Bizbe helps facilitate transactions but is not a party to any transaction between users, and is not the buyer or seller of any listed business.

4. Fees & payment

Our fees for the Services are as follows:

• Seller onboarding package: a one-time, upfront fee of $2,500 covering preparation of deal documents and marketing of your business.
• Success fee: a standard commission of 6.99% of the total transaction value, due upon the successful close of a sale.
• Buy-side representation: for buyers who engage Bizbe to represent them, a fee of $1,500 per month.

Specific fees applicable to your engagement may be set out in a separate agreement. Unless otherwise stated in writing, fees are non-refundable. You authorize us (and our payment processors) to charge the applicable fees, and you are responsible for any taxes associated with your use of the Services.

5. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose;
• Post or transmit false, misleading, or inaccurate content, including listing information;
• Impersonate any person or entity or misrepresent your affiliation;
• Attempt to gain unauthorized access to the Services or other users’ accounts;
• Scrape, harvest, or collect data from the Services through automated means without our consent; or
• Interfere with or disrupt the integrity or performance of the Services.

6. User content & license

You retain ownership of the content you submit to the Services. By submitting content, you grant Bizbe a worldwide, non-exclusive, royalty-free license to host, use, reproduce, and display that content as needed to operate, provide, and improve the Services. You represent that you have the rights necessary to grant this license.

7. Listings & due diligence

Listing information is provided by users and is not independently verified or endorsed by Bizbe. We do not guarantee the accuracy, completeness, or quality of any listing, user, or transaction. You are solely responsible for conducting your own due diligence and for any decision to buy or sell a business.

8. Confidentiality & NDAs

Business sales involve sensitive information. You may be required to enter into a non-disclosure agreement before accessing certain listing details. You agree to keep confidential information confidential and to use it only to evaluate or complete a potential transaction.

9. Intellectual property

Bizbe owns all rights in the Services and their content, other than user-submitted content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. All other rights are reserved.

10. AI-assisted features

The Services use artificial intelligence to generate valuations, summaries, recommendations, and other content. AI outputs are provided for convenience, may contain errors or omissions, and should not be relied upon as the sole basis for any decision. They are not legal, financial, tax, or investment advice. You are responsible for independently verifying any AI-generated information.

11. Third-party services

The Services may integrate with or link to third-party services that we do not control. We are not responsible for those services or their terms, and your use of them is at your own risk and subject to their terms.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Bizbe does not provide legal, financial, tax, or investment advice, and nothing in the Services constitutes such advice.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZBE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR $100.

14. Indemnification

You agree to indemnify and hold harmless Bizbe and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, including for violation of these Terms. Provisions that by their nature should survive termination, including disclaimers, limitations of liability, indemnification, and dispute resolution, will survive.

16. Governing law & disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date above and may notify you by email or through the Services. Your continued use of the Services after an update means you accept the revised Terms.

18. Miscellaneous

These Terms, together with our Privacy Policy and any separate written agreement between us, are the entire agreement between you and Bizbe regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our consent; we may assign them. Our failure to enforce any right is not a waiver of that right.
