Bizbe Terms of Service

Welcome to Bizbe. These Terms of Service ("Terms") govern your access to and use of the websites, platform, applications, and services (collectively, the "Services") provided by Bizbe, Inc. ("Bizbe," "we," "our," or "us"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration
To access certain features of the Services, you must create an account. You agree to:
Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your password confidential and secure.
Be responsible for all activity that occurs under your account.
You must notify Bizbe immediately at support@bizbe.com of any unauthorized access or use of your account.
3. Description of Services
Bizbe operates a platform that connects buyers, sellers, brokers, and other parties involved in the buying, selling, and management of small businesses. Bizbe is not a party to any transaction between users and does not act as a broker, agent, attorney, financial advisor, or fiduciary unless expressly stated in a separate written agreement.
4. User Conduct
You agree not to:
Use the Services for any unlawful, fraudulent, or unauthorized purpose.
Post or transmit content that is false, misleading, defamatory, infringing, or otherwise objectionable.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Attempt to gain unauthorized access to the Services, other users' accounts, or any related systems.
Interfere with or disrupt the integrity or performance of the Services.
Use any automated means (e.g., scrapers, bots) to access or collect data from the Services without our prior written consent.
Solicit users for purposes outside the intended use of the Services.
5. User Content
You retain ownership of any content you submit to the Services, including business listings, descriptions, financials, images, and communications ("User Content"). By submitting User Content, you grant Bizbe a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, display, and distribute that User Content solely for the purpose of operating, providing, and improving the Services.
You are solely responsible for the accuracy, legality, and appropriateness of your User Content. Bizbe reserves the right, but has no obligation, to review, monitor, or remove User Content at its sole discretion.
6. Listings and Transactions
Users posting business listings are responsible for ensuring all information is accurate, lawful, and current. Bizbe does not verify, endorse, or guarantee the accuracy of any listing or the qualifications of any user. All transactions, negotiations, and agreements between users are solely between those users. Bizbe is not responsible for the conduct, performance, or outcomes of any user transaction.
You are responsible for conducting your own due diligence before entering into any agreement or transaction with another user.
7. Fees and Payment
Certain features of the Services may require payment of fees. All fees are disclosed at the time of purchase and are non-refundable unless otherwise stated. You authorize Bizbe and its third-party payment processors to charge your selected payment method for all applicable fees. You are responsible for any taxes associated with your use of the Services.
8. Intellectual Property
The Services, including all software, design, text, graphics, logos, and other content (excluding User Content), are owned by Bizbe or its licensors and are protected by intellectual property laws. Bizbe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Services or reverse engineer or attempt to extract source code, except as permitted by law.
9. Third-Party Services
The Services may contain links to or integrations with third-party websites, products, or services. Bizbe is not responsible for, and does not endorse, any third-party services. Your use of third-party services is governed by their own terms and policies.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. BIZBE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE.
Bizbe does not provide legal, financial, tax, or investment advice. Any information provided through the Services is for informational purposes only and should not be relied upon as professional advice.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZBE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
BIZBE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BIZBE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Bizbe and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights or applicable law.
13. Termination
Bizbe may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Services and close your account at any time by contacting support@bizbe.com. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will continue to apply.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
16. Miscellaneous
These Terms, together with the Privacy Policy and any other terms referenced herein, constitute the entire agreement between you and Bizbe regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; Bizbe may assign these Terms freely.
